1. Acceptance

In addition to any other indication of your acceptance of these, by accessing or using any of the provided access by Sanofi Consumer Health Inc. (hereinafter “SCH”, “we”, “us”, “our”) to this Zantac®Canada Facebook® page (hereinafter the "Zantac® Page") you agree, without limitation or qualification, to be bound by these terms and conditions and such other additional or alternative terms, conditions, rules and policies which are displayed or to which you may be directed in connection with this Zantac® Page, as all of the same may be modified by SCH from time to time (collectively the “Terms of Use”). Please note that the Terms of Use may be updated from time to time without notice to you, so please check back periodically. The Zantac® Page may, from time to time, offer contests or promotions (“Related Contests”). Such Related Contests may be governed by additional or distinct rules and regulations applicable therein, which you will have to accept if you wish to participate to such Related Contests.


2. Registration, Accounts and Passwords

You agree that any and all activity relating to your registration, account and password to this Zantac® Page is subject to the conditions and terms of use of Facebook®, which SCH has no control over and remains totally independent of SCH. As such, SCH assumes no responsibility or liability, directly or indirectly, in relation to or arising from your registration, access, account, password to this Zantac® Page, nor from the hosting of the Zantac® Page by Facebook®. In addition, SCH has no control whatsoever regarding Facebook®’s collection, management and disclosure of any Personal Information (as defined below) you may disclose while using the Zantac® Page. SCH assumes no responsibility or liability, directly or indirectly, in relation to or arising from Facebook®’s collection, management or disclosure of any Personal Information disclosed on this Zantac® Page. SCH, as a reference only, provides you with the link where you may find Facebook®’s terms of use and Data Use Policy, as may be amended from time to time by Facebook®.

3.1 You acknowledge that:

(a) This Zantac® Page IS NOT INTENDED AS A FORUM FOR DISCUSSING SCH’S OR OTHER COMPANIES’ HEALTH PRODUCTS, INCLUDING PRESCRIPTIONS, OVER THE COUNTER PRODUCTS AND NATURAL HEALTH PRODUCTS. For health product-related or other questions, please contact your healthcare professional. 3.2 You agree not to:

(a) post, transmit, link to, or otherwise distribute any information constituting or encouraging unlawful, threatening, libellous, defamatory, obscene, inflammatory, pornographic or profane material or any material that could constitute or encourage conduct that would be considered a criminal offense, give rise to civil liability or would otherwise violate the law. SCH will fully cooperate with any law enforcement authorities or court order requesting or directing SCH to disclose the identity of anyone posting any such information or materials;

(b) defame, abuse, stalk, harass, threaten or otherwise violate the legal rights of others, including without limitation, rights relating to privacy;

(c) post, transmit, link to, or otherwise distribute any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful material or information;

(d) post, transmit, link to, or otherwise distribute any information or software which contains a virus, cancelbot, trojan horse, worm or other harmful or disruptive component;

(e) upload, post, publish, transmit, reproduce, link to or otherwise distribute in any way, information, software or other material, or any derivative work thereof, which is protected by copyright, or any other intellectual property right, without obtaining permission of the copyright owner or rightholder;

(f) post or reveal any Personal Information without having before obtained the required express consent from the individual to which such Personal Information pertains to.


4. Privacy

(a) As used herein "Personal Information" shall mean any information about an identifiable person including but not limited to as the case may be, your name, picture, email address, telephone number(s), date of birth.

(b) In participating to the Zantac® Page, you are providing, on a voluntary basis, SCH with data which may include Personal Information. If you are providing Personal Information concerning another individual, you represent to us that you have obtained the consent of this individual for such purposes to the extent required by law.

SCH will collect, use and disclose Personal Information for the sole purposes of:

i- responding to queries submitted on the Zantac® Page;

ii- processing comments which refer to side effects or adverse events in relation to a SCH or Sanofi Canada product for reporting purposes to relevant regulatory health authorities including Health Canada; and

iii- managing the Related Contests provided on the Zantac® Page.

If you are simply visiting the Zantac® Page, we do not collect any Personal Information.

(c) We do not disclose Personal Information about participants to the Zantac® Page, except as described herein, and as otherwise permitted or required by applicable law. Any Personal Information collected for the purposes outlined above is primarily maintained in an electronic database. The database is only accessible to employees, agents, consultants, affiliates or service providers of SCH for whom the information is needed in the performance of their duties.

(d) SCH has engaged third-party service providers to provide certain services and assist with the daily operations and maintenance of the Zantac® Page, these services include:

- logistics/technical and level support;

- testing and validation of the Zantac® Page;

- collection and processing of Personal information in relation to the purposes outlined above (collectively the "Services").

These third-party service providers may have access to Personal Information, solely for the purposes of providing these Services. When we transfer or provide access to Personal Information to third party service providers, we contractually ensure that such providers provide a high level of Personal Information protection, including requiring that they respect the privacy terms herein and are responsible for the security of the Personal Information. They are not authorized by us to collect, use or disclose the Personal Information except as necessary to perform the Services on our behalf in relation to the Zantac® Page as described herein, or to comply with legal requirements.

(e) We reserve the right to transfer any Personal Information we have about you in connection with the sale or transfer of all or a portion of our business or assets or rights relating thereto. Should such a sale or transfer occur, we will request that the transferee use and disclose Personal Information you have provided through this Zantac® Page in a manner that is consistent with the privacy terms herein.

(f) If applicable, the collection, use, and disclosure of information contemplated in these Terms of Use may involve a transfer of the information to jurisdictions located outside your country of residence that may not have equivalent laws and rules regarding Personal Information. The reasonable contractual measures we may take to protect Personal Information while processed or handled by these third parties are subject to applicable foreign legal requirements, for example lawful requirements to disclose Personal Information to government authorities in those countries.

(g) Information we collect automatically may include information, such as your IP address, domain name, web page, the length of time spent on the Zantac® Page, and the features accessed while visiting the Zantac® Page, which, to the extent such information is identifiable with you, is Personal Information. The collection of this Personal Information is permitted and subject to the tools provided by Facebook® as disclosed in its terms of use and Data Use Policy, as may be amended from time to time by Facebook®. We have no access to, or control over such tools including “cookies” and “log files” and do not accept any responsibility for Facebook®’s practices.

(h) We will only retain Personal Information as long as needed to fulfill the relevant purposes outlined above. The file containing your Personal Information will be made available to the authorized employees, contractors or agents of SCH who need to access the information in connection with such purposes.

(i) We maintain appropriate administrative, technical and physical safeguards to protect Personal Information against accidental or unlawful destruction, accidental loss, unauthorized alteration, unauthorized disclosure or access, misuse, and all other unlawful forms of processing of the Personal Information in our possession.

(k) We hereby agree to respect and observe the provisions set forth in Quebec Act respecting the protection of Personal Information in the Private Sector (the “Act”) and any other applicable Canadian federal or provincial legislation regulating the protection of personal information in the private sector. To the extent there is additional protection afforded to you pursuant to the Act or any such other applicable privacy legislation, and same is not set forth herein, we agree to take such measures to give full effect to such additional protection.


5. Monitoring

You acknowledge that:

(a) Postings may be reviewed by SCH and may be deleted if they are deemed to violate the Terms of Use.

(b) SCH can only confirm the accuracy of the information we post on this Zantac® Page and does not verify, approve or endorse the comments or any information posted by you and visitors on this page and does not warrant their accuracy. Caution should be used before relying on any particular statements or opinions expressed herein.

(c) Although SCH may monitor or review the discussions, chats, postings, transmissions, bulletin boards and the like on the site, SCH is under no obligation to do so, except to the extent required by law or regulation, and SCH assumes no responsibility or liability arising from the content of the Zantac® Page nor for any error, defamation, libel, slander, omission, falsehood, obscenity, pornography, profanity, danger or inaccuracy contained in any information within the page.


6. Termination

You acknowledge and agree that SCH may, without notice to you, ban your use of this Zantac® Page, and discard any information or content related to such access and your use thereof, for any reason, including where SCH believes that you have violated any of the Terms of Use. You further agree that SCH shall not be liable to you or to any other person as a result of any such suspension or termination.

9. Intellectual Property

The Zantac® Page presentation, content and each of the materials posted on the Zantac® Page by SCH are protected by the applicable laws as regards intellectual property and are owned by SCH or its affiliates, or have been subjected to authorization of use granted to it. By using and participating to the Zantac® Page you are granting to SCH and its affiliates a perpetual, irrevocable, royalty-free license to use, for any purpose whatsoever, the materials (posting, comments, queries etc.) you place and/or publish on the Zantac® Page.


10. Territory and Governing Law

These Terms of Use shall be governed by the laws in force in the Province of Quebec and the federal laws of Canada applicable therein. You agree that any dispute in connection with the use this Zantac® Page shall be the sole and exclusive jurisdiction of the courts in the Province of Quebec. For the purposes of these Terms of Use, the parties elect domicile in the District of Montreal.


11. No Waiver

SCH’s failure to insist upon or enforce strict performance of any right or provision of these Terms of Use shall not constitute or be construed as a waiver of any right or provision. If any of the provisions (or parts thereof) contained in the Terms of Use are determined to be void, invalid or otherwise unenforceable by a court of competent jurisdiction, such determination shall not affect the remaining provisions (or parts thereof) contained herein.
